Terms of Use for Community Usage

Our mission at Luep, created by Squirrel Technologies, LLC (“Luep,” “we,” “our,” or “us”), is to provide a social network where the user is the center of the network, not an advertiser or some entity looking to follow and track you.  Luep is a true social network where you can connect with other people and build your community without worrying about us tracking your behavior for advertisers or selling your content. This Terms of Use Agreement (“Agreement”) includes the terms by which you may access and use that social network and the online and/or mobile services, website, and/or software provided on or in connection with that social network (collectively, the “Service”). If you are a Community Admin (defined below), this Agreement governs your access and use of our Services. If you are being invited to a Community set up by a Community Admin, the Terms of Use Agreement for Individuals govern your access and use of the Services. We are grateful you’re here!

PLEASE READ THE FOLLOWING TERMS OF USE AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION CONTAINED HEREIN. This AGREEMENT applies to all visitors, users, and others who access the Service (“Users”). THIS IS A CONTRACT BETWEEN YOU AND LUEP. By accessing or using the Service, you signify that you have read, understood, and agree to be bound by this AGREEMENT. If you are not eligible to use the Service, or do not agree to the terms and conditions of this Agreement, you do not have our permission to use the Service.

Use of Our Service

A. Eligibility. This Agreement (or, if applicable, your written agreement with us) and any Order Form(s) (defined below) together form a binding “Contract” between Community Admin and us. If any terms in a Community Admin-Specific Supplement apply to Community Admin (e.g., if Community Admin is a U.S. government entity), those terms are also incorporated herein by reference and form part of the Contract.

B. Luep Service. If you purchase subscription(s), create a Community (i.e., a digital space where a group of users may access the Services), invite users to that Community, or use or allow use of that Community after being notified of a change to this Agreement, you acknowledge your understanding of the then-current Contract and agree to the Contract on behalf of the Community. Please make sure you have the necessary authority to enter into the Contract on behalf of the Community before proceeding.

Community Basics

A. Who is “Community Admin”?

“Community” is the organization that you represent in agreeing to the Contract. “Community Admin” is the individual creating the Community. For example, if you signed up using a personal email address and invited a couple of friends to work on a new startup idea but haven’t formed a company yet, you are the Community Admin.

B. Signing Up Using a Corporate Email Domain

If you signed up for a plan using your corporate email domain, your organization is the Community, and Community Admin can modify and re-assign roles in your Community (including your role) and otherwise exercise its rights under the Contract.

C. What This Means for Community Admin—and for Us

Individuals authorized by the Community Admin to access the Services (an “Authorized User”) may submit content or information to the Services, such as messages or files (“Community Data”), and the Community Admin may exclusively provide us with instructions on what to do with it. For example, Community Admin may provision or deprovision access to the Services, enable or disable third party integrations, manage permissions, retention and export settings, transfer or assign workspaces, share channels, or consolidate Communities or channels with other Communities or channels.

Community Admin will (a) inform Authorized Users of all Community policies and practices that are relevant to their use of the Services and of any settings that may impact the processing of Community Data; and (b) ensure the transfer and processing of Community Data under the Contract is lawful.

D. Ordering Subscriptions

A subscription allows an Authorized User to access the Services. No matter the role, a subscription is required for each Authorized User. A subscription may be procured through the Services interface, or in some cases, via an order form entered into between Community Admin and us (each, an “Order Form”). Each Authorized User must agree to the Terms of Use Agreement for Individuals to activate their subscription. Subscriptions commence when we make them available to Community Admin and continue for the term specified in the Services “check-out” interface or in the Order Form, as applicable. Each subscription is for a single Authorized User for a specified term and is personal to that Authorized User. We sometimes enter into other kinds of ordering arrangements, but that would need to be spelled out and agreed to in an Order Form. During an active subscription term, adding more subscriptions is fairly easy. Unless the Order Form says otherwise, Community Admin may purchase more subscriptions at the same price stated in the Order Form and all will terminate on the same date.

E. Purchasing Decisions

We may share information about our future product plans because we like transparency. Our public statements about those product plans are an expression of intent, but do not rely on them when making a purchase. If Community Admin decides to buy our Services, that decision should be based on the functionality or features we have made available today and not on the delivery of any future functionality or features.

F. Feedback is Welcome

The more suggestions our users make, the better the Services become. If Community Admin sends us any feedback or suggestions regarding the Services, there is a chance we will use it, so Community Admin grants us (for itself and all of its Authorized Users and other Community personnel) an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use any such feedback or suggestions for any purpose without any obligation or compensation to Community Admin, any Authorized User or other Community personnel. If we choose not to implement the suggestion, please don’t take it personally. We appreciate it nonetheless!

G. Non-Luep Products

If a Non-Luep Product is used in a Community, please be mindful of any Community Data that will be shared with the third party provider and the purposes for which the provider requires access. We will not be responsible for any use, disclosure, modification or deletion of Community Data that is transmitted to, or accessed by, a Non-Luep Product.

Community, Community Admin and Authorized Users

A. Service Rules

Community Admin must comply with the Contract and ensure that its Authorized Users comply with the Contract and the Terms of Use Agreement for Individuals. We may review conduct for compliance purposes, but we have no obligation to do so. We aren’t responsible for the content of any Community Data or the way Community Admin or its Authorized Users choose to use the Services to store or process any Community Data. Community Admin is solely responsible for providing high speed internet service for itself and its Authorized Users to access and use the Services.

B. Our Removal Rights

If we believe that there is a violation of the Contract that can simply be remedied by Community Admin’s removal of certain Community Data or Community Admin’s removal of a Non-Luep Product, we will, in most cases, ask Community Admin to take direct action rather than intervene. However, we reserve the right to directly step in and take what we determine to be appropriate action, if Community Admin does not take appropriate action, or if we believe there is a credible risk of harm to us, the Services, Authorized Users, or any third parties.

Payment Obligations

A. Payment Terms

For Communities that purchase our Services, fees are specified on the Pricing page, and will be made available at the Services interface “check-out” and in the Order Form(s) — and must be paid in advance. Payment obligations are non-cancelable and, except as expressly stated in the Contract, fees paid are non-refundable. For clarity, in the event that Community downgrades any subscriptions from a paid plan to a free plan, Community Admin will remain responsible for any unpaid fees under the paid plan, and Services under the paid plan will be deemed fully performed and delivered upon expiration of the initial paid plan subscription term. If we agree to invoice Community Admin by email, full payment must be received within thirty (30) days from the invoice date. Fees are stated exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). Community Admin will be responsible for paying all Taxes associated with its purchases, except for those taxes based on our net income. Should any payment for the Services be subject to withholding tax by any government, Community Admin will reimburse us for such withholding tax.

B. Downgrade for Non-Payment

If any fees owed to us by Community (excluding amounts disputed reasonably and in good faith) are thirty (30) days or more overdue, we may, without limiting our other rights and remedies, downgrade any fee-based Services to free plans until those amounts are paid in full, so long as we have given Community Admin ten (10) or more days’ prior notice that its account is overdue. Notwithstanding the second paragraph of the “Providing the Services” section below, Community Admin acknowledges and agrees that a downgrade will result in a decrease in certain features and functionality and potential loss of access to Community Data, as illustrated by comparing the plans in the Pricing page.

Our Responsibilities

A. Providing the Services

We will (a) make the Services available to Community and its Authorized Users as described in the Contract; and (b) not use or process Community Data for any purpose without Community Admin’s prior written instructions; provided, however, that “prior written instructions” will be deemed to include use of the Services by Authorized Users and any processing related to such use or otherwise necessary for the performance of the Contract.

Be assured that subject to the “Non-Luep Products” and “Downgrade for Non-Payment” sections, we will not materially decrease the functionality of a Service during a subscription term. For any breach of a warranty in this section, Community Admin’s exclusive remedies are those described in the sections titled “Termination for Cause” and “Effect of Termination”.

B. Keeping the Services Available

For all Service plans, we will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, excluding planned downtime. We expect planned downtime to be infrequent but will endeavor to provide Community Admin with advance notice (e.g., through the Services), if we think it may exceed ten (10) continuous minutes.

C. Protecting Community Data

The protection of Community Data is a top priority for us so we will maintain rigorous administrative, physical, and technical safeguards. Those safeguards will include measures for preventing unauthorized access, use, modification, deletion and disclosure of Community Data by our personnel. We do not share any Community Data with any of our third party service providers. Community Admin (not us) bears sole responsibility for adequate security, protection and backup of Community Data when in Community’s or its representatives’ or agents’ possession or control. We are not responsible for what a Community’s Authorized Users or Non-Luep Products do with Community Data – that is Community Admin’s responsibility.

Ownership and Proprietary Rights

As between us on the one hand, and Community Admin and any Authorized Users on the other, Community Admin will own all Community Data. Subject to the terms and conditions of the Contract, Community Admin (for itself and all of its Authorized Users) grants Luep a worldwide, non-exclusive, limited term license to access, use, process, copy, distribute, perform, export and display Community Data, and any Non-Luep Products created by or for Community, only as reasonably necessary (a) to provide, maintain and update the Services; (b) to prevent or address service, security, support or technical issues; and (c) as expressly permitted in writing by Community Admin. Community Admin represents and warrants that it has secured all rights in and to Community Data from its Authorized Users as may be necessary to grant this license.

We own and will continue to own our Services, including all related intellectual property rights. We may make software components available, via app stores or other channels, as part of the Services. We grant to Community Admin a non-sublicensable, non-transferable, non-exclusive, limited license for Community and its Authorized Users to use the object code version of these components, but solely as necessary to use the Services and in accordance with the Contract and the Agreement. All of our rights not expressly granted by this license are hereby retained.

Term and Termination

A. Contract Term

As further described below, a free subscription continues until terminated, while a paid subscription has a term that may expire or be terminated. The Contract remains effective until all subscriptions ordered under the Contract have expired or been terminated or the Contract itself terminates. Termination of the Contract will terminate all subscriptions and all Order Forms.

B. Auto-Renewal

Unless an Order Form says something different, (a) all subscriptions automatically renew (without the need to go through the Services-interface “check-out” or execute a renewal Order Form) for additional periods equal to one (1) year or the preceding term, whichever is shorter; and (b) the per-unit pricing during any automatic renewal term will remain the same as it was during the immediately prior term. Either party can give the other notice of non-renewal at least thirty (30) days before the end of a subscription term to stop the subscriptions from automatically renewing.

C. Termination for Cause

We or Community Admin may terminate the Contract on notice to the other party if the other party materially breaches the Contract and such breach is not cured within thirty (30) days after the non-breaching party provides notice of the breach. Community Admin is responsible for its Authorized Users, including for any breaches of this Contract caused by its Authorized Users. We may terminate the Contract immediately on notice to Community Admin if we reasonably believe that the Services are being used by Community Admin or its Authorized Users in violation of applicable law.

D. Termination Without Cause

Community Admin may terminate its free subscriptions immediately without cause. We may also terminate Community Admin’s free subscriptions without cause, but we will provide Community Admin with thirty (30) days prior written notice.

E. Effect of Termination

Upon any termination for cause by Community Admin, we will refund Community Admin any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination. Upon any termination for cause by us, Community Admin will pay any unpaid fees covering the remainder of the term of those subscriptions after the effective date of termination. In no event will any termination relieve Community Admin of the obligation to pay any fees payable to us for the period prior to the effective date of termination.

F. Data Portability and Deletion

We are custodians of Community Data. During the term of a Community’s subscriptions, Community Admin will be permitted to export or share certain Community Data from the Services; provided, however, that because we have different products with varying features and Community has different retention options, Community Admin acknowledges and agrees that the ability to export or share Community Data may be limited or unavailable depending on the type of Services plan in effect and the data retention, sharing or invite settings enabled. Following termination or expiration of a Community’s subscriptions, we will have no obligation to maintain or provide any Community Data and may thereafter, unless legally prohibited, delete all Community Data in our systems or otherwise in our possession or under our control.

Mobile Software

A. Mobile Software. We may make available software to access the Service via a mobile device (“Mobile Software”). To use the Mobile Software you must have a mobile device that is compatible with the Mobile Software. Luep does not warrant that the Mobile Software will be compatible with your mobile device. You may use mobile data in connection with the Mobile Software and may incur additional charges from your wireless provider for these services. You agree that you are solely responsible for any such charges. Luep hereby grants you a non-exclusive, non-transferable, revocable license to use a compiled code copy of the Mobile Software for one Luep account on one mobile device owned or leased solely by you, for your personal use. You may not: (i) modify, disassemble, decompile or reverse engineer the Mobile Software, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the Mobile Software to any third party or use the Mobile Software to provide time sharing or similar services for any third party; (iii) make any copies of the Mobile Software; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the Mobile Software, features that prevent or restrict use or copying of any content accessible through the Mobile Software, or features that enforce limitations on use of the Mobile Software; or (v) delete the copyright and other proprietary rights notices on the Mobile Software. You acknowledge that Luep may from time to time issue upgraded versions of the Mobile Software, and may automatically electronically upgrade the version of the Mobile Software that you are using on your mobile device. You consent to such automatic upgrading on your mobile device, and agree that the terms and conditions of this Agreement will apply to all such upgrades. Any third-party code that may be incorporated in the Mobile Software is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code. The foregoing license grant is not a sale of the Mobile Software or any copy thereof, and Luep or its third-party partners or suppliers retain all right, title, and interest in the Mobile Software (and any copy thereof). Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in this Agreement, is void. Luep reserves all rights not expressly granted under this Agreement. If the Mobile Software is being acquired on behalf of the United States Government, then the following provision applies. The Mobile Software will be deemed to be “commercial computer software” and “commercial computer software documentation,” respectively, pursuant to DFAR Section 227.7202 and FAR Section 12.212, as applicable. Any use, reproduction, release, performance, display or disclosure of the Service and any accompanying documentation by the U.S. Government will be governed solely by these Terms of Service and is prohibited except to the extent expressly permitted by these Terms of Use. The Mobile Software originates in the United States, and is subject to United States export laws and regulations. The Mobile Software may not be exported or re-exported to certain countries or those persons or entities prohibited from receiving exports from the United States. In addition, the Mobile Software may be subject to the import and export laws of other countries. You agree to comply with all United States and foreign laws related to use of the Mobile Software and the Luep Service.

B. Mobile Software from iTunes. The following applies to any Mobile Software you acquire from the iTunes Store (“iTunes-Sourced Software”): You acknowledge and agree that this Agreement is solely between you and Luep, not Apple, and that Apple has no responsibility for the iTunes-Sourced Software or content thereof. Your use of the iTunes-Sourced Software must comply with the App Store Terms of Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the iTunes-Sourced Software. In the event of any failure of the iTunes-Sourced Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the iTunes-Sourced Software to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the iTunes-Sourced Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by this Agreement and any law applicable to Luep as provider of the software. You acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the iTunes-Sourced Software or your possession and/or use of the iTunes-Sourced Software, including, but not limited to: (i) product liability claims; (ii) any claim that the iTunes-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation; and all such claims are governed solely by this Agreement and any law applicable to Luep as provider of the software. You acknowledge that, in the event of any third-party claim that the iTunes-Sourced Software or your possession and use of that iTunes-Sourced Software infringes that third party’s intellectual property rights, Luep, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by this Agreement. You and Luep acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this Agreement as relates to your license of the iTunes-Sourced Software, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement as relates to your license of the iTunes-Sourced Software against you as a third-party beneficiary thereof.

C. Mobile Applications from Google Play Store. The following applies to any Mobile Applications you acquire from the Google Play Store (“Google-Sourced Software”): (i) you acknowledge that the Agreement is between you and Luep only, and not with Google, Inc. (“Google”); (ii) your use of Google-Sourced Software must comply with Google’s then-current Google Play Store Terms of Service; (iii) Google is only a provider of the Google Play Store where you obtained the Google-Sourced Software; (iv) Luep, and not Google, is solely responsible for its Google-Sourced Software; (v) Google has no obligation or liability to you with respect to Google-Sourced Software or the Agreement; and (vi) you acknowledge and agree that Google is a third-party beneficiary to the Agreement as it relates to Luep Google-Sourced Software.

Our Proprietary Rights

Except for your User Content, the Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks and service marks (including, without limitation, the Luep and the Luep logo marks), copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the “Luep Content”), and all Intellectual Property Rights related thereto, are the exclusive property of Luep and its licensors (including other Users who post User Content to the Service). Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Luep Content. Use of the Luep Content for any purpose not expressly permitted by this Agreement is strictly prohibited.

Luep reserve all rights to the Luep Content not expressly granted in this Agreement and in our Privacy Policy, and no right or license in the Luep Content is granted to you, except as expressly set forth in this Agreement and the Privacy Policy.

You may choose to or we may invite you to submit comments or ideas about the Service, including without limitation about how to improve the Service or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Luep under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, Luep does not waive any rights to use similar or related ideas previously known to Luep, or developed by its employees, or obtained from sources other than you.

Luep Property

You acknowledge that you do not own the account you use to access the Service, nor do you possess any rights of access or rights to data stored by or on behalf of Luep on Luep servers, including without limitation any data representing or embodying any or all of your Luep Property. You agree that Luep has the absolute right to manage, regulate, control, modify and/or eliminate Luep Property as it sees fit in its sole discretion, in any general or specific case, and that Luep will have no liability to you based on its exercise of such right. All data on Luep servers are subject to deletion, alteration or transfer. NOTWITHSTANDING ANY VALUE ATTRIBUTED TO SUCH DATA BY YOU OR ANY THIRD PARTY, YOU UNDERSTAND AND AGREE THAT ANY DATA, ACCOUNT HISTORY AND ACCOUNT CONTENT RESIDING ON LUEP SERVERS, MAY BE DELETED, ALTERED, MOVED OR TRANSFERRED AT ANY TIME FOR ANY REASON IN LUEP’S SOLE DISCRETION, WITH OR WITHOUT NOTICE AND WITH NO LIABILITY OF ANY KIND. LUEP DOES NOT PROVIDE OR GUARANTEE, AND EXPRESSLY DISCLAIMS, ANY VALUE, CASH OR OTHERWISE, ATTRIBUTED TO ANY DATA RESIDING ON LUEP SERVERS.

Credits

The Luep app integrates the respective application programming interfaces, data, databases, media libraries, images, and/or other intellectual property of Apple, Inc.; Microsoft Corporation; and Google, Inc. This material is proprietary and the subject of copyright protection, database right protection and/or other intellectual property rights owned by Apple, Inc.; Microsoft Corporation; and Google, Inc.; or their respective suppliers. The use of this material is subject to the terms of one or more license agreements. Any unauthorized copying or disclosure of this material will lead to criminal and civil liabilities. The Luep app is not endorsed or certified by Apple, Inc.; Microsoft Corporation; or Google, Inc. // iTUNES is a registered trademark of Apple, Inc. All rights reserved. // GOOGLE is a registered trademark owned Google, Inc. All rights reserved.

Indemnity

You agree to defend, indemnify and hold harmless Luep and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service, including the Merchant Services and any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; (v) User Content or any content that is submitted via your account including without limitation misleading, false, or inaccurate information; (vi) your willful misconduct; or (vii) any other party’s access and use of the Service with your unique username, password or other appropriate security code.

We will defend Community from and against any and all third party claims, actions, suits, proceedings, and demands alleging that the use of the Services as permitted under the Contract infringes or misappropriates a third party’s intellectual property rights (a “Claim Against Community”), and will indemnify Community for all reasonable attorney’s fees incurred and damages and other costs finally awarded against Community in connection with or as a result of, and for amounts paid by Community under a settlement we approve of in connection with, a Claim Against Community; provided, however, that we will have no liability if a Claim Against Community arises from (a) Community Data or Non-Luep Products; and (b) any modification, combination or development of the Services that is not performed by us, including in the use of any application programming interface (API). Community Admin must provide us with prompt written notice of any Claim Against Community and allow us the right to assume the exclusive defense and control, and cooperate with any reasonable requests assisting our defense and settlement of such matter. This section states our sole liability with respect to, and Community Admin’s exclusive remedy against Luep for, any Claim Against Community.

Notwithstanding anything contained in the two preceding sections, (a) an indemnified party will always be free to choose its own counsel if it pays for the cost of such counsel; and (b) no settlement may be entered into by an indemnifying party, without the express written consent of the indemnified parties (such consent not to be unreasonably withheld), if (i) the third party asserting the claim is a government agency, (ii) the settlement arguably involves the making of admissions by the indemnified parties, (iii) the settlement does not include a full release of liability for the indemnified parties, or (iv) the settlement includes terms other than a full release of liability for the indemnified parties and the payment of money.

No Warranty

Community Admin represents and warrants that it has validly entered into the Contract and has the legal power to do so. Community Admin further represents and warrants that it is responsible for the conduct of its Authorized Users and their compliance with the terms of this Contract and the Terms of Use Agreement for Individuals.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LUEP OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, LUEP, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICE.

LUEP DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE PROMOTED OR OFFERED BY A THIRD PARTY THROUGH THE LUEP SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND LUEP WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

FEDERAL LAW, SOME STATES, PROVINCES AND OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION AND LIMITATIONS OF CERTAIN IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS AND EXCLUSIONS UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUEP, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL LUEP BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR COMMUNITY OR THE COMMUNITY DATA CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUEP ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL LUEP, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO LUEP HEREUNDER OR $100.00, WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF LUEP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

The Service is controlled and operated from facilities in the United States. Luep makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You may not use the Service if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government. Unless otherwise explicitly stated, all materials found on the Service are solely directed to individuals, companies, or other entities located in the United States.

Confidentiality

A. Confidential Information

Each party (“Disclosing Party”) may disclose “Confidential Information” to the other party (“Receiving Party”) in connection with the Contract, which is anything that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure including all Order Forms, as well as non-public business, product, technology and marketing information.Confidential Information of Community includes Community Data. If something is labeled “Confidential,” that’s a clear indicator to the Receiving Party that the material is confidential. Notwithstanding the above, Confidential Information does not include information that (a) is or becomes generally available to the public without breach of any obligation owed to the Disclosing Party; (b) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (c) is received from a third party without breach of any obligation owed to the Disclosing Party; or (d) was independently developed by the Receiving Party.

B. Protection and Use of Confidential Information

The Receiving Party will (a) take at least reasonable measures to prevent the unauthorized disclosure or use of Confidential Information, and limit access to those employees, affiliates and contractors who need to know such information in connection with the Contract; and (b) not use or disclose any Confidential Information of the Disclosing Party for any purpose outside the scope of this Contract. Nothing above will prevent either party from sharing Confidential Information with financial and legal advisors; provided, however, that the advisors are bound to confidentiality obligations at least as restrictive as those in the Contract.

C. Compelled Access or Disclosure

The Receiving Party may access or disclose Confidential Information of the Disclosing Party if it is required by law; provided, however, that the Receiving Party gives the Disclosing Party prior notice of the compelled access or disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the access or disclosure. Without limiting the foregoing, please review the Data Request Policy for details on how requests may be made for the disclosure of Community Data and how we will handle those requests. If the Receiving Party is compelled by law to access or disclose the Disclosing Party’s Confidential Information, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing access to such Confidential Information as well as the reasonable cost for any support provided in connection with the Disclosing Party seeking a protective order or confidential treatment for the Confidential Information to be produced.

Survival

The sections titled “Feedback is Welcome,” “Non-Luep Products,” “Our Removal Rights,” “Use of the Services,” “Payment Terms,” “Ownership and Proprietary Rights,” “Effect of Termination,” “Data Portability and Deletion,” “No Warranty,” “Limitation of Liability,” “Indemnification,” “Confidentiality” and “Survival,” as well as all of the provisions under the general heading “General,” will survive any termination or expiration of the Contract.

Governing Law, Arbitration, and Class Action/Jury Trial Waiver

A. Governing Law. You agree that: (i) the Service shall be deemed solely based in Texas; and (ii) the Service shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than Texas. This Agreement shall be governed by the internal substantive laws of the State of Texas, without respect to its conflict of laws principles. The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the preceding sentences with respect to the substantive law, any arbitration conducted pursuant to the terms of this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16). The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of the federal and state courts located in, Harris County, Texas for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as set forth in the Arbitration provision below, including any provisional relief required to prevent irreparable harm. You agree that, Harris County, Texas is the proper forum for any appeals of an arbitration award or for trial court proceedings in the event that the arbitration provision below is found to be unenforceable.

B. Arbitration. READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM LUEP. For any dispute with Luep, you agree to first contact us at support@isquirrel.com and attempt to resolve the dispute with us informally. In the unlikely event that Luep has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to this Agreement, or the breach or alleged breach thereof (collectively, “Claims”), by binding arbitration by JAMS, under the Optional Expedited Arbitration Procedures then in effect for JAMS, except as provided herein. JAMS may be contacted at www.jamsadr.com. The arbitration will be conducted in Harris County, Texas, unless you and Luep agree otherwise. If you are using the Service for commercial purposes, each party will be responsible for paying any JAMS filing, administrative and arbitrator fees in accordance with JAMS rules, and the award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses. If you are an individual using the Service for non-commercial purposes: (i) JAMS may require you to pay a fee for the initiation of your case, unless you apply for and successfully obtain a fee waiver from JAMS; (ii) the award rendered by the arbitrator may include your costs of arbitration, your reasonable attorney’s fees, and your reasonable costs for expert and other witnesses; and (iii) you may sue in a small claims court of competent jurisdiction without first engaging in arbitration, but this does not absolve you of your commitment to engage in the informal dispute resolution process. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this Section shall be deemed as preventing Luep from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, Intellectual Property Rights or other proprietary rights.

C. Class Action/Jury Trial Waiver. WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE SERVICE FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND LUEP ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

Changes to the Service

We may, without prior notice, change the Service; stop providing the Service or features of the Service, to you or to Users generally; or create usage limits for the Service. We may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you violate any provision of this Agreement, or for no reason. Upon termination for any reason or no reason, you continue to be bound by this Agreement.

Changes to the Agreement and Notice

Luep may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by Luep in our sole discretion. Luep reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement. Luep is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. Luep may, in its sole discretion, modify or update this Agreement from time to time, and so you should review this page periodically. When we change the Agreement in a material manner, we will update the ‘last modified’ date at the bottom of this page. Your continued use of the Service after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Service.

General

A. Assignment. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by Community Admin, but may be assigned by Luep without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

B. Entire Agreement/Severability. This Agreement, together with any amendments and any additional agreements Community Admin may enter into with Luep in connection with the Service, shall constitute the entire agreement between Community Admin and Luep concerning the Service. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect, except that in the event of unenforceability of the universal Class Action/Jury Trial Waiver, the entire arbitration agreement shall be unenforceable.

C. No Waiver. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Luep’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

D. Publicity

Community Admin grants us the right to use Community name and logo as a reference for marketing or promotional purposes on our website and in other public or private communications with our existing or potential users, subject to Community’s standard trademark usage guidelines as provided to us from time-to-time. We don’t want to list Communities who don’t want to be listed, so Community Admin may send us an email to contact@isquirrel.com stating that it does not wish to be used as a reference.

E. Force Majeure

Neither us nor Community Admin will be liable by reason of any failure or delay in the performance of its obligations on account of events beyond the reasonable control of a party, which may include denial-of-service attacks, a failure by a third party hosting provider or utility provider, strikes, shortages, riots, fires, acts of God, war, terrorism, and governmental action.

F. Relationship of the Parties; No Third Party Beneficiaries

The parties are independent contractors. The Contract does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties. There are no third party beneficiaries to the Contract.

G. Email and Luep Posts or Messages

Except as otherwise set forth herein, all notices under the Contract will be by email, although we may instead choose to provide notice to Community Admin through the Services (e.g., a Direct Message or Post on Luep). Notices to Luep will be sent to contact@isquirrel.com, except for legal notices, such as notices of termination or an indemnifiable claim, which must be sent to legal@isquirrel.com. Notices will be deemed to have been duly given (a) the day after it is sent, in the case of notices through email; and (b) the same day, in the case of notices through the Services.

H. Modifications

As our business evolves, we may change this Agreement and the other components of the Contract (except any Order Forms). If we make a material change to the Contract, we will provide Community Admin with reasonable notice prior to the change taking effect, either by emailing the email address associated with Community Admin’s account or by messaging Community Admin through the Services. Community Admin can review the most current version of the Agreement at any time by visiting this page and by visiting the most current versions of the other pages that are referenced in the Contract. The materially revised Contract will become effective on the date set forth in our notice, and all other changes will become effective upon posting of the change. If Community Admin (or any Authorized User) accesses or uses the Services after the effective date, that use will constitute Community Admin acceptance of any revised terms and conditions.
